Terms of Service

1. Who we are

DrawRight (“DrawRight,” “we,” “us”) is a construction draw management service operated by The Sky Floor, LLC, 10611 Maple Grove Rd, Charlevoix, Michigan, USA. These Terms of Service (“Terms”) govern your access to and use of the DrawRight website, application, and related services at drawright.build (together, the “Service”). By creating an account or using the Service, you agree to these Terms.

2. Your account

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and using the Service for business purposes. If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

3. The Service

DrawRight helps general contractors prepare sworn statements, draw requests, lien waiver tracking, and related construction-finance documents, and share them with owners, lenders, and title companies. The Service is a tool for preparing and organizing your own documents and data — it is not a bank, escrow agent, title company, or party to any construction contract or loan.

4. Not professional advice

Nothing in the Service constitutes legal, accounting, tax, lending, or other professional advice. Sworn statement formats, lien waiver requirements, and draw procedures vary by state, lender, and title company. You are solely responsible for verifying that any document you generate with DrawRight satisfies the requirements of your jurisdiction, lender, and counterpartiesbefore you rely on it or submit it.

5. AI features

Parts of the Service (“DrawRight AI”) use artificial intelligence to analyze, summarize, or draft content — for example, checking a draw for anomalies, importing a sworn statement from a PDF, or drafting an email. AI output can be incomplete or incorrect. AI features are assistive only: review every AI-generated number, line item, and document before using or submitting it. AI usage is subject to fair-use limits that vary by plan; we may adjust limits to prevent abuse.

6. Your data

You retain all rights to the project data, financial figures, documents, and contacts you enter into the Service (“Customer Data”). You grant us a limited license to host, process, display, and transmit Customer Data solely to provide the Service — including sharing it with the collaborators (owners, lenders, subcontractors) you explicitly invite or send it to. You are responsible for having the right to upload any data you enter, including other parties’ contact information.

7. Subscriptions and billing

• Paid plans are billed monthly or annually through Stripe and renew automatically until cancelled.
• New accounts may include a free trial (currently 7 days). If you don’t cancel before the trial ends, your selected plan begins billing.
• You can cancel any time from Settings → Billing; access continues through the end of the paid period. Except where required by law, fees are non-refundable.
• We may change pricing with at least 30 days’ notice; changes apply at your next renewal.
• Plan features and limits (projects, seats, AI usage) are described on the pricing page and may evolve over time.

8. Acceptable use

You agree not to:

• use the Service to prepare fraudulent, deceptive, or unlawful documents;
• attempt to access another customer’s data or circumvent access controls;
• probe, overload, or disrupt the Service, or scrape it with automated tools;
• resell or white-label the Service without our written permission;
• reverse engineer the Service except where the law permits it.

9. Intellectual property

We own the Service, including its software, design, and branding. These Terms don’t grant you any rights to our trademarks or code beyond the right to use the Service while your account is in good standing. Feedback you send us may be used without obligation to you.

10. Third-party services

The Service relies on third-party providers (for example payment processing, hosting, email delivery, and AI infrastructure). Their availability affects ours; we are not responsible for outages or changes in third-party services, though we’ll always work to minimize disruption.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DOCUMENTS GENERATED WILL MEET ANY THIRD PARTY’S REQUIREMENTS.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

13. Indemnification

You will indemnify and hold us harmless from claims arising out of your Customer Data, your use of the Service in violation of these Terms, or documents you submit to third parties.

14. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate accounts that violate these Terms or create risk for us or other customers. After termination we will make your Customer Data available for export for 30 days upon request, after which we may delete it.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we’ll notify you by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflicts of law rules. Disputes will be resolved in the state or federal courts located in Michigan, and both parties consent to their jurisdiction.
